Agreement
of Non-Disclosure
The UNDERSIGNED PARTIES CERTIFY that they are entering into an
agreement whereby confidential information regarding the operation of their
respective businesses will be shared for the sole purpose of establishing a
business relationship where CDC (The Provider) will offer services to
_________________________________ (The Client).
The
UNDERSIGNED PARTIES thereby undertake to ensure that,
(a) Any, and all
confidential information exchanged will be used for the purpose specified at
the time of the exchange; and, that
(b) All confidential
information is to be made available ONLY to appropriate personnel involved in
the business relationship; and, that
(c)
All confidential files
or other similar information provided for this “business development process” by any of the signers will, upon
request, be returned, inclusive of any copies, and, that (d) The undersigned parties
hereby covenant not to disclose any of the confidential information to third
parties without the express written consent of the party that owns the
confidential information.
